Terms and Conditions

Wholesale Order Policies Updated 2011-07-01 - Please read thoroughly. Subject to change without notice.

Schedule :

We will sell wholesale goods to:
* A store or web site selling mom/baby and/or Designers products.

* No group buying or co op sales

Prices:

* All prices are in Canadian Dollar.

* Prices are guaranted until the cut-off date. After the cut-off date, the prices may change without notice. All the orders placed before the cut-off date are not subject of change and will be invoiced with the initial price. The re-orders during the season will be invoiced with the new prices if some changes have been done.

Orders:
* Minimum order $250 and 4 units per style. Minimum of $250 for all re-order during the season and 2 units per style.

* All orders must be paid 6 weeks prior to delivery. If an order is not paid at this time it will be deleted and a 15% fee of the total of the order will be charged to you. If there is a problem with prompt payment please just contact us.

* Payment must be made with the credit card registered in your account or wire transfer for all order over $500. We will invoice you 8 week prior delivery for a payment expected 6 weeks prior delivery. Payment currency : Canadian Dollar.

* All orders are to be placed online or by fax.

Backorders:
* We prefer not to have any backorders. If an item ordered is not currently available because of a delay of production, we will ship it to you as soon as we will receive it. Some shipping fees will apply. If an item ordered is not currently available due to a lack of materials, a default of manufacture or whichever issue encountered during the confection we will promptly provide a store credit to be used on your next purchase.  

Drop Shipping:
* We don't offer drop shipping.

Holding Orders:

If you place an order with the anticipation of placing a second order with in 48 hours, we will hold your order if requested. You must send an email to servanebarrau@gmail.com and let us know that you would like to combine orders. Payment in full is due 6 weeks before delivery. We will adjust your shipping charges at the time of shipping.

Shipping:
* USA and Canada : We use Express Canada Post or UPS to ship your orders. We try to make the most economical choice based on package weight and distance.
You will be able to pick you choice for shipping. Due to UPS & Canada Post's rules regarding missing packages and insurance all packages shipped by those both companies are required to have a signature for delivery.
We will NOT put a lower amount paid on your customs forms. Please do not ask us to do so. You can get back those duties in your business return taxes, contact your Government for more details.
We will give you the shipping cost at the time of shipping your order and will adjust your grand total order in consequence.

* International shipping: ALL international packages. will ship by Canada Post only. This will allow us to provide tracking and insurance to our international retailers. We will NOT put a lower amount paid on your customs forms. Please do not ask us to do so.
We will give you the shipping quote at the time of shipping your order and will adjust your grand total order in consequence.

Resale Price Maintenance Policy:
The Federal Trade Commission (FTC) has what is called a "Take it or Leave it" policy regarding pricing. While they prohibit individual pricing agreements (aka price fixing), they do allow a manufacturer to stop supplying a retailer who goes against the manufacturers resale price policy. This is our official policy at Servane Barrau Designs™:
We reserve the right to stop supplying any company that advertises Servane Barrau Designs™ products for less than the suggested retail prices shown on the wholesale order pages.
In order to preserve the value and integrity of Servane Barrau Designs™, we reserve the right to not sell to anyone who advertises a retail price (or overall value), for new products, that is below our retail prices.
Please be aware that packaging extra free items with a known retail value with our products constitutes selling below minimum MSRP (Manufacturer Suggested Retail Price) because it changes the overall value of the package.
That said, we do really want you to sell product. We realize that in the competitive marketplace, a variety of sales approaches are necessary and we encourage that. What is good for you is good for us. We can help each other. The following price reductions are acceptable:

* Short-term sales and coupons with an end date. (excludes regular recurring sales and promotional sales without an end date.) An acceptable short-term sale will be for no more than 10% off of MSRP and this right after have received your order. If sale is for more than 10% off you will be emailed and you will be asked to increase the price of the sale to the correct amount.

* Free shipping offers and multi-item/package discounts. Free shipping must be applied to all items in the store and not solely on Servane Barrau Designs™.

* Unadvertised unique discounts at your discretion ( i.e.: discount to a customer who inquires about a discount for an issue or following a customer service report).
If we notice that you are selling below the MSRP, we will contact you and ask you to revise your pricing for our product. If you continue to sell against the Resale Price Maintenance Policy, we will assume that you no longer want to do business with Servane Barrau Designs™. You will be removed from our Retailer list and we may opt not to sell to your company in the future. Please know that we are not a company that is founded on *control* or bad feelings. We are very easy to get along with. We just believe that this policy will maintain our brand integrity and position within the marketplace. Please feel free to ask any questions regarding our policy. There is a chance that you will think of something that we have not. We are happy to review our policy and see if your idea falls within the limits of acceptability.

* Selling of Servane Barrau Designs™ on ANY AUCTION SITE including eBay is prohibited. We are members of eBay's VERO program and will have any auction that is in violation of our retailer policies removed immediately.

Product Turnaround Time:
Servane Barrau Designs™ started as one-woman operation. It has evolved into a a wonderful organization. We do our best to deliver you as soon as we can regarding the date we may have gave you. The first orders placed will be delivered in first. Please plan on this and order accordingly. We will give you turnaround times updates until the date of delivery.

Odds and Ends
* You may use product pictures and descriptions for our retail websites and wholesale store:

Please be sure to copy these exactly as they are typed. You will find product images, prices, logos, promotional images, and much more. All images are available for use on your websites but you must download them to your own computer. We do not allow any hot linking to our site.
If you have a website and your store is linked to the homepage from our retailer list and you have other product promotional graphics on your home page, THEN YOU MUST PUT ONE OF OUR PROMOTIONAL IMAGES ON YOUR HOMEPAGE. If you would prefer not to put any graphics on your website then send us the link to you Servane Barrau Designs™ product page and we will adjust your listing so that it goes directly to that page.

* Products may not be renamed

* Alterations of Servane Barrau Designs products™ (embroidery, embellishment, etc...) voids all warranties and removes all Servane Barrau Designs™.

Returns/Damaged Merchandise :
* Claims concerning the quantity and assortment of the goods shall be made not later than 72 hours from the day of arrival of the goods to the point of destination (at the BUYER’S works).

We aim for 100% product perfection. However, if problems do occur, please don't hesitate to contact us.

* Workmanship and quality are guaranteed.

* Replacements are based on availability. An exact color/print match replacement or exchange cannot be guaranteed.

* All products have a 10 days guarantee on any sewing defects after delivery. This includes: elastic, aplix, seams, and serging. All guarantees are for the store only. We will repair any defective item that falls under our guarantee.

You MUST include a note with your name, address, email, and reason for return. I must be notified PRIOR to their shipping that they are sending it.

* If items are returned with no information we will hold them for 30 days. After 30 days they will be considered abandoned.

* We do not accept exchanges or returns on unsold merchandise. Due to lighting and differences in computers the actual color may vary from what you see on-screen, this is not a valid reason for return. If there are questions regarding our return policy please feel free to ask. We do not make any exceptions to our return policy. Making an exception for 1 will require an exception for all.
